Terms of Service

1. CSAgentIQ Service

CSAgentIQ is an AI-powered productivity platform designed to help users manage tasks, calendars, reminders, schedules, appointments, communications, daily planning, AI assistance, and productivity workflows.

Certain functionality may allow CSAgentIQ to recommend, prepare, schedule, or initiate actions based on user instructions.

2. Eligibility

You may use CSAgentIQ only if you are legally permitted to enter into these Terms.

Users under the age of majority in their jurisdiction may require permission from a parent or legal guardian.

CSAgentIQ is not intended for children under 13.

3. Your Account

You agree to provide accurate account information.

You are responsible for maintaining account security, protecting credentials, activities performed through your account, and immediately notifying CSAgentIQ of suspected unauthorized access.

You may not access another person’s account without authorization.

4. License to Use CSAgentIQ

Subject to these Terms, CSAgentIQ grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services.

CSAgentIQ and its licensors retain all rights not expressly granted.

5. Your Content

You retain ownership of content you provide to CSAgentIQ, including your tasks, notes, calendar information, uploaded information, AI prompts, and other user-generated content.

You grant CSAgentIQ a limited license to process your content only as reasonably necessary to provide, secure, maintain, and improve the Services and as otherwise described in our Privacy Policy.

6. Connected Services

CSAgentIQ may connect with third-party platforms. By connecting a service, you authorize CSAgentIQ to communicate with that service within the permissions you grant. You are responsible for ensuring that you have the right to connect and use those accounts. Third-party services remain governed by their own agreements.

7. AI Features

CSAgentIQ includes artificial intelligence features. AI outputs are generated algorithmically and may not always be accurate. You acknowledge that:

• AI can misunderstand instructions.
• AI-generated information may contain errors.
• Recommendations should be reviewed when important.
• CSAgentIQ is not a substitute for professional advice.
• You should independently verify important information.

8. Task-to-Action Features

Some CSAgentIQ features may help execute actions associated with tasks. For example: “Call Damien at 10 AM.” CSAgentIQ may remind you at 10 AM and offer to initiate the call.

Other actions may include:

• Creating calendar events
• Drafting communications
• Sending communications
• Initiating telephone calls
• Scheduling appointments
• Rescheduling events
• Contacting third parties

User Authorization

Certain actions may require explicit user confirmation. When CSAgentIQ presents an action for approval, you are responsible for reviewing the recipient, content, date, time, destination, and other relevant details before approving it.

User Remains in Control

CSAgentIQ acts based on the instructions and permissions you provide. You remain responsible for communications and transactions that you authorize.

9. Communications with Third Parties

If you ask CSAgentIQ to contact another individual or business, you represent that you are authorized to make the communication and that it complies with applicable law.

You may not use CSAgentIQ for:

• Spam
• Harassment
• Fraud
• Unlawful telemarketing
• Impersonation
• Deceptive communications
• Unauthorized automated messaging

CSAgentIQ may limit features where necessary to prevent abuse.

10. Acceptable Use

You may not use CSAgentIQ to:

• Violate applicable law
• Infringe intellectual-property rights
• Access another person’s information without authorization
• Circumvent security controls
• Introduce malware
• Scrape CSAgentIQ without permission
• Reverse engineer protected portions of CSAgentIQ except where legally permitted
• Overload or disrupt the Service
• Commit fraud
• Harass others
• Impersonate another person
• Generate unlawful spam
• Use automated systems in ways that materially interfere with CSAgentIQ’s infrastructure

We may suspend accounts that violate these requirements.

11. Subscriptions

Some CSAgentIQ functionality may require a paid subscription. Prices and included features will be displayed before purchase. Subscriptions may be offered monthly, annually, or through promotional trials. Unless otherwise stated, subscriptions automatically renew until cancelled.

12. Apple App Store Purchases

If you subscribe through Apple’s App Store:

• Apple processes payment.
• Apple manages subscription billing.
• Apple’s payment and refund rules may apply.
• You can manage subscriptions through your Apple ID subscription settings.

These Terms are between you and CSAgentIQ, not Apple. Apple is not responsible for providing or maintaining CSAgentIQ except to the extent required under applicable App Store terms.

13. Free Trials

CSAgentIQ may offer free trials. Trial length and conversion terms will be disclosed before enrollment. If a trial automatically converts to a paid subscription, that fact and the applicable price will be clearly disclosed. You may cancel according to the billing platform’s subscription procedures.

14. Cancellation

You may cancel your subscription at any time. Cancellation normally stops future renewals but does not retroactively refund previously billed periods unless required by law or applicable platform rules. Deleting the CSAgentIQ application does not necessarily cancel a subscription.

15. Service Changes

We continuously improve CSAgentIQ. We may add, change, or remove functionality. Where a change materially affects a paid service, we will take reasonable steps to provide appropriate notice when required.

16. Beta Features

Certain CSAgentIQ functionality may be identified as Beta, Preview, Experimental, or Early Access. Such functionality may:

• Change
• Become unavailable
• Contain bugs
• Perform differently from production functionality

Use beta features accordingly.

17. Third-Party Services

CSAgentIQ may depend upon third-party services. Examples may include:

• Apple
• Google
• Microsoft
• Email providers
• Calendar providers
• AI providers
• Telecommunications providers
• Cloud providers

CSAgentIQ does not control these third-party services and cannot guarantee their continued availability.

18. Service Availability

We aim to provide a reliable service, but CSAgentIQ cannot guarantee uninterrupted availability. Services may be temporarily unavailable because of:

• Maintenance
• Provider outages
• Network issues
• Software errors
• Security events
• Circumstances outside our control

19. Not an Emergency Service

Do not rely on CSAgentIQ for emergencies or time-critical safety communications.

CSAgentIQ is a productivity tool and is not a substitute for emergency services.

20. Not Professional Advice

Information provided through CSAgentIQ is intended for productivity and general informational purposes. CSAgentIQ does not provide:

• Medical advice
• Legal advice
• Financial advice
• Tax advice
• Professional emergency guidance

Consult an appropriate professional when necessary.

21. Intellectual Property

Except for user content, CSAgentIQ and its associated software, branding, interfaces, designs, graphics, technology, algorithms, and documentation are owned by CSAgentIQ or its licensors and protected by applicable intellectual-property laws.

22. Feedback

If you provide suggestions about CSAgentIQ, you permit us to use them to improve our products without an obligation to compensate you. Providing feedback does not transfer ownership of your private user content.

23. Account Suspension and Termination

We may suspend or terminate access if we reasonably believe:

• These Terms have been materially violated.
• The account presents a security risk.
• The Service is being abused.
• Continued access would violate law.

You may stop using CSAgentIQ and delete your account at any time.

24. Disclaimer of Warranties

To the fullest extent permitted by law, CSAgentIQ is provided on an “as is” and “as available” basis.

We do not warrant that:

• CSAgentIQ will always be uninterrupted.
• Every AI response will be correct.
• Every reminder will arrive.
• Every integration will remain available.
• Every automated action will execute successfully.

Nothing in these Terms limits warranties that cannot legally be excluded.

25. Limitation of Liability

To the maximum extent permitted by law, CSAgentIQ and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from use of the Services.

To the maximum extent permitted by law, CSAgentIQ’s total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to CSAgentIQ during the twelve (12) months preceding the event giving rise to the claim, subject to any exceptions required by applicable law.

26. Indemnification

To the extent permitted by law, you agree to defend and indemnify CSAgentIQ against third-party claims resulting from:

• Your unlawful use of CSAgentIQ
• Your violation of these Terms
• Your infringement of third-party rights
• Content or communications you knowingly provide in violation of law

Consumer rights that cannot legally be waived remain unaffected.

27. Dispute Resolution

Before filing a claim, you agree to first contact us at legal@csagentiq.com and attempt to resolve the dispute informally. If a dispute is not resolved within a reasonable period, either party may pursue the remedies available under these Terms and applicable law, including claims in small-claims court where eligible.

28. California Consumer Notice

California users may have additional rights under California law. Nothing in these Terms limits any consumer rights or notices required by applicable California law.

29. Governing Law

These Terms will be governed by the laws of the jurisdiction in which CSAgentIQ operates, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

30. Changes to These Terms

We may update these Terms. If changes materially affect your rights, we will provide reasonable notice as required by applicable law. Your continued use after the effective date of an update constitutes acceptance where legally permitted.

31. Entire Agreement

These Terms, together with the Privacy Policy and other applicable CSAgentIQ agreements, constitute the agreement between you and CSAgentIQ concerning the Services. If any provision is found unenforceable, the remaining provisions remain in effect.
